MERCHANT AGREEMENT

This document is an electronic record in terms of the Information Technology Act, 2000 and the rules made thereunder as applicable and amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.  
These Terms of Service (“Agreement/Terms”) are executed between the- 
Individuals/firms/company/entity/any other business organization registered as Merchant on the portal of ‘OFFEVER’   and  Pacewin Solutions Private Limited (Company) working with a brand name of ‘Offever’. 

The first party agrees to the conditions of this agreement as a pre-condition of trading on the portal with the customers. The Company reserves the right to change or update the terms from time to time. These Terms do not alter or limit in any way the terms or conditions of any other agreement the merchant might have with the Company. The terms and conditions are as follows-

1. Merchant account:

The login segment for the merchant is given on the portal separately wherein the merchant has to upload his license of working at the time of registration and such merchant is expected to be beyond the age of 18 (eighteen) years to comply with the provisions of the Indian Contract Act, 1872. 
The ‘License’ is any document wherein the company/ firm/ other form of organization is made eligible by the Government of India to provide the service or trade in goods for which they are registering on the portal. The few examples of such documents are- Gumasta for Proprietorship/ Partnership firm; Certificate of Incorporation for a registered company; etc. 
 

2. Accountability:

The merchant shall be held accountable if the customer faces any problem with the product sold by the merchant through ‘Offever’. 
The merchant dealing in food products should be highly careful with the product as in case of any supply of adulterated food products the merchant shall be solely responsible for the consequences. Under no circumstances shall ‘Offever’ be held responsible for any product supplied by the merchant to the customer/ user. 
 

3. Payments:

The merchant shall take the payment for its goods directly from the customer/ user of such product. 
However, the merchant has to consider the discount codes given by ‘Offever’ to the customer for getting attractive discounts. 
In case of any discrepancy regarding the offer codes provided to the customers, merchant shall contact the ‘Offever’ team. 


4. Mode and time of delivery:

Mode and time of delivery has to be entered by the merchant on the portal of ‘Offever’ so that the order of user/customer can be tracked and the user can be informed about the expected time and mode of delivery. 
 

5. Breach: 

If the merchant breaches any of the provisions of this agreement, he or she will be liable to pay penalty as per the guidelines of ‘Offever’. Moreover, in case of such a breach by merchant, this agreement will become void further in terms of merchants’ rights.

6. Cancellation of customer’s order: 

The order cancellation part shall be dealt by the merchant solely. In case the customer cancels the order, it will be communicated directly to the merchant by the customer. 
The condition imposed by ‘Offever’ is only that the merchant shall communicate with the customer in writing regarding the cancellation terms and conditions so that the customer is well informed about the consequence in case they wish to cancel any order. 
 

7.Miscellaneous:  
 

(a) The merchant shall never ask the customer to directly trade with them offering them same offers as are provided by ‘Offever’.   
(b) Return policy: The merchant has to declare the return policy to the customers clearly, before delivering the product. Such information if given in writing shall be entertained. 
(c) In case of any exchanges/ refund/ return/guarantee/ warranty/etc., the terms and conditions shall be clearly stated by the merchant on the dashboard of ‘Offever’ where it can be viewed/ reviewed by the customer as well as the management of ‘Offever’. 
(d) Services/ Repairing: The place of service for any product to be repaired or otherwise shall be communicated between the merchant and user. 
(e) The terms & conditions of the merchant with regards to exchange and all other personal terms and conditions which the merchant needs to impose on the customer shall be clearly mentioned on the face of the online shop a merchant is offering for visit by users. 
(f) The merchant agrees that their mobile number and email id’s can be used for marketing and campaign of products and offers by ‘Offever’.
